Since its establishment, our Law Firm has been cooperating with the energy sector. We have advised the biggest energy groups in Poland on privatisation, restructuring and consolidation processes. Within the scope of our services, we support entities operating in the fields of electricity, gas and heat and in the areas of production, distribution and trade. Our experience includes also advising on regulations regarding renewable energy sources. As a result, we can say that our capital is the detailed knowledge not only of the sector regulations but also of the specifics of business operations in the energy sector.
Areas of practice
One of the main areas of practice of our Law Firm is the provision of advice on regulations concerning the energy sector, including both conventional and alternative (including RES) energy industry. Within that scope, we rely on expertise, experience and knowledge of the specifics of the industry, gathered during many years of cooperation with energy companies and so-called industrial consumers. Our Clients are supported by us both with regard to issues relating to their ongoing activities in the field of energy, gas and heat production, trade and distribution and in implementation of innovative projects. We are aware that the present complexity of regulations concerning the energy sector poses a considerable challenge to entities operating in the sector with regard to risk management. That’s why, the main focus of our advisory services is to search for solutions which – by minimising regulatory burdens having their economic impact – allow our Clients to gain a competitive edge in the market.
We support energy companies in their day-to-day organisational activity. Our lawyers help them with both selecting a form that is proper for their planned or conducted business and implementing it. We draft, for example, shareholders agreements, statutes, organisational rules and regulations, as well as other internal acts. We provide full legal assistance to owners, management boards and supervisory boards.
Our team provides comprehensive support in the efficient implementation of transactions regarding entities operating in the energy market, from due diligence processes, through negotiations and entering into relevant agreements (SPA), obtaining permits from administrative (including regulatory) bodies, and recording such transactions in any required registers. We cooperate with renowned economic advisors, thus being able to provide our Clients with a comprehensive approach to complex capital projects.
We assist in obtaining any required investment (environmental, planning, construction) permits for investments in both RES and conventional sources, and for (transmission) infrastructure investments. We draft all necessary agreements with contractors and service providers (including TSA, FSA, MSA agreements, general contracting agreements, etc.).
Our Law Firm assists its Clients in negotiations with transmission companies on agreements on the establishment of transmission easement and remuneration on that account, as well as in court proceedings concerning compensation for the land occupation by transmission facilities and for non‑contractual use.
